1. Acceptance of Terms

By accessing, browsing, or using the WealthyBot platform ("Service," "Platform," or "WealthyBot"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Risk Disclosure, and Trading Disclaimer. If you do not agree to these Terms, you must immediately cease using the Platform.

These Terms constitute a legally binding agreement between you and WealthyBot ("we," "us," or "our"). Your continued use of the Platform constitutes acceptance of any updates or modifications to these Terms.

2. Description of Service

WealthyBot is a software-as-a-service technology platform that provides AI-powered market analysis tools, automated trade signal generation, and trade execution automation for cryptocurrency markets. WealthyBot is a technology provider only. We do not:

  • Hold, custody, manage, or control your funds or digital assets at any time
  • Operate as a broker-dealer, exchange, custodian, or financial institution
  • Provide financial advice, investment advice, tax advice, or legal advice
  • Guarantee any trading outcomes, returns, or profits
  • Act as your agent, fiduciary, or financial advisor

All funds remain in your own exchange or wallet account(s) at all times. WealthyBot connects to third-party exchanges solely through API keys that you provide, and executes instructions based on parameters that you configure.

3. Non-Custodial Nature of Service

WealthyBot is a non-custodial platform. At no point does WealthyBot take possession, custody, or control of your cryptocurrency, fiat currency, digital assets, or any other funds. Your assets remain on your chosen third-party exchange(s) or wallet(s) at all times. We do not have the ability to withdraw, transfer, or move your funds. You are solely responsible for the security and management of your exchange accounts and API keys.

4. User Eligibility and Responsibility

By using WealthyBot, you represent and warrant that:

  • You are at least 18 years of age (or the legal age of majority in your jurisdiction)
  • You have the legal capacity to enter into this agreement
  • You are solely responsible for complying with all applicable laws, regulations, and tax obligations in your jurisdiction
  • You are not a resident of any jurisdiction where the use of this Service is prohibited
  • You understand the risks of cryptocurrency trading and automated trading systems
  • You can afford to lose the entirety of the funds you allocate to trading activities
  • You will monitor your trading activity, positions, and account balances at all times

5. API Key Security

You are solely responsible for the security and proper configuration of any API keys you provide to the Platform. You acknowledge that:

  • API keys grant access to execute trades on your exchange account
  • You should use API keys with the minimum necessary permissions (e.g., trade-only, no withdrawal permissions)
  • WealthyBot is not liable for any unauthorized access to your exchange account resulting from compromised API keys
  • You must immediately revoke and replace API keys if you suspect any unauthorized access

6. No Investment Advice

Nothing on the WealthyBot platform — including signals, scores, agent analyses, conviction ratings, market commentary, backtesting results, or any other content — constitutes financial, investment, legal, or tax advice. All information provided is for informational and educational purposes only. You should consult with qualified, licensed financial professionals before making any investment decisions. Past performance, including backtesting results or historical signal accuracy, is not indicative or a guarantee of future results.

7. Assumption of Risk

By using WealthyBot, you expressly acknowledge and assume the following risks:

  • Market Risk: Cryptocurrency markets are highly volatile. Prices can move dramatically in short periods. You may lose some or all of your invested capital.
  • Technology Risk: Software systems can fail. Bugs, outages, network issues, API failures, data feed interruptions, and third-party service outages may occur and can result in missed trades, incorrect executions, or losses.
  • AI and Algorithmic Risk: AI-generated signals and automated strategies are based on probabilistic analysis. They can and will produce incorrect predictions. No algorithm is infallible.
  • Execution Risk: Automated orders may experience slippage, partial fills, rejected orders, or execution at materially different prices than intended, especially during volatile conditions.
  • Liquidity Risk: Some trading pairs may have insufficient liquidity, resulting in unfavorable execution prices.
  • Third-Party Risk: WealthyBot relies on third-party exchanges, data providers, and infrastructure. Failures or changes by these third parties are beyond our control.
  • Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and may change. You are solely responsible for compliance with all applicable laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEALTHYBOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, DIGITAL ASSETS, FIAT CURRENCY, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER WEALTHYBOT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WEALTHYBOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO WEALTHYBOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

9. Indemnification

You agree to indemnify, defend, and hold harmless WealthyBot, its officers, directors, employees, affiliates, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your trading activities and any resulting financial losses
  • Your violation of any applicable law or regulation
  • Any unauthorized access to your account resulting from your failure to safeguard your credentials

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WEALTHYBOT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11. Termination

WealthyBot reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, you must immediately disconnect all API keys and cease using the Service. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to limitation of liability, indemnification, and disclaimer of warranties.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with applicable arbitration rules.

13. Modifications

WealthyBot reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
